The first investor signs on Tuesday, March 3, 2026. Day 15 is Wednesday, March 18, 2026. That is a business day, so Form D is due that day.

The clock starts at the signature, not at the wire. Form D is a public notice, not an approval, and anyone can read it on EDGAR.

Rules as of November 2026: SEC Rule 503 and the Form D FAQ (updated July 9, 2026), and California Corporations Code §25102.1(d) and §25608.1(c). EDGAR also closes on some extra days by executive order, such as December 24 in some years. State rules vary. Ask your lawyer to confirm each deadline.
